1. Acceptance of Terms
By submitting a classified listing, responding to a listing, or otherwise using the Hey Alma Classifieds section (“Classifieds”), you (“User”) agree to be bound by these Terms of Service and Submission Agreement (“Agreement”), as well as Hey Alma’s general Terms of Use and Privacy Policy, available at Terms of Use and Privacy Policy. If you do not agree to these terms, do not use the Classifieds in any manner.
2. Eligibility
You must be at least 18 years old to submit, respond to, or otherwise interact with a Classifieds listing. By using the Classifieds, you represent and warrant that you are 18 years of age or older and legally capable of entering into this Agreement.
3. User-Generated Content
The Classifieds section contains user-generated content (“UGC”) submitted by community members, including listings, responses, and related communications. Hey Alma does not create, verify, endorse, or guarantee the accuracy of any UGC, including the identity of any user, the accuracy of any listing, or the truth of any claim made in a post.
Hey Alma does not conduct background checks, identity verification, or screening of any kind on Classifieds users.
4. User Conduct
By submitting or responding to a listing, you agree not to post content that is:
- Unlawful, fraudulent, or deceptive
- Misleading as to your identity, intentions, or the nature of what is offered
- Harmful, threatening, abusive, harassing, or discriminatory
- Obscene, or sexually explicit in a manner that violates Hey Alma’s community standards
- In violation of any applicable law or third-party right, including intellectual property and privacy rights
You are solely responsible for your posts, responses, and any interactions or transactions that result from your use of the Classifieds, including any in-person or online communications with other users.
5. No Responsibility for Transactions or Interactions
Hey Alma’s Classifieds is a platformvenue for Users to connect and is not a party to any transaction, communication, or interaction between Users. Hey Alma is not responsible or liable for any dispute, damages, injury, loss, or harm — financial, physical, emotional, or otherwise — arising from or related to a User’s posting, response, transaction, or interaction with another User, whether occurring on or off the platform.
You are solely responsible for exercising appropriate caution and judgment when interacting with other Classifieds users, including when arranging to meet in person. You understand that Hey Alma does not conduct background checks, identity verification, or screening of any kind on Classifieds users.
6. Content Moderation and Removal
Hey Alma reserves the right, but has no obligation, to review, moderate, edit, or remove any Classifieds content that violates this Agreement, Hey Alma’s community standards, or applicable law, at any time and without notice. Hey Alma also reserves the right to suspend or terminate a User’s access to the Classifieds for any violation of this Agreement.
7. License to Submitted Content
By submitting a listing, response, or other content to the Classifieds, you irrevocably grant Hey Alma and its parents, affiliates, licensees, successors, and assigns an exclusive, royalty-free, worldwide, perpetual, transferable, sublicensable right (but not the obligation) to use, edit, alter, reproduce, display, perform, create derivative works from, and otherwise incorporate that content — in any format or medium now known or later devised — for editorial, promotional, marketing, or other purposes, including featuring listings on Hey Alma’s social media, newsletters, website, or other properties, whether or not related to the Classifieds.
You represent that you own or have the necessary rights to grant this license for any content you submit, and that the content does not infringe any third party’s rights.
You acknowledge that Hey Alma receives numerous submissions and that content you submit may be similar to content submitted by other users or otherwise available to Hey Alma. Hey Alma may use such similar or identical content without obligation to you. Neither your submission, nor Hey Alma’s review of it, creates an implied contract between you and Hey Alma.
8. Release of Claims
To the fullest extent permitted by law, by submitting content to the Classifieds you release Hey Alma and its parents, affiliates, licensees, successors, and assigns (each a “Released Party”) from, and agree not to sue any Released Party for: (i) any claim for defamation, invasion of privacy, right of publicity, or copyright or trademark infringement arising from the use of your content as permitted under Section 7; (ii) any liability arising from Hey Alma’s display, editing, or other permitted use of your content; and (iii) any claim for compensation for the use of your content or related to your participation or use of in the Classifieds.
You waive any right to inspect or approve Hey Alma’s use of your content and any moral rights you may have in it. You acknowledge that your sole remedy for any claim against a Released Party arising from this Section shall be an action at law for actual damages, and that you waive any right to injunctive or other equitable relief to stop or restrain such use.
9. Disclaimer of Warranties
THE CLASSIFIEDS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. HEY ALMA DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HEY ALMA AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE CLASSIFIEDS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. HEY ALMA’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE CLASSIFIEDS SHALL NOT EXCEED $100.
11. Indemnification
You agree to indemnify and hold harmless Hey Alma, its officers, employees, and affiliates from any claim, demand, damages, or loss, including reasonable attorneys’ fees, arising out of your use of the Classifieds, your content, or your violation of this Agreement or any rights of a third party.
12. Dispute Resolution
Any dispute arising out of or relating to this Agreement or the Classifieds shall be brought only in the courts of the city and state of New York, consistent with Hey Alma’s general Terms of Use. You agree that any claim or cause of action arising out of or related to your use of the Classifieds must be filed within six (6) months after the claim or cause of action arose, or it will be forever barred.
13. Governing Law
This Agreement is governed by and construed in accordance with the laws of the city and state of New York, as applied to agreements entered into and performed within that area, consistent with Hey Alma’s general Terms of Use.
14. Changes to This Agreement
Hey Alma may update this Agreement from time to time. Continued use of the Classifieds after changes take effect constitutes acceptance of the updated terms.
